Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the Epistemic Motion Engine ("EME", "we", "us", or "our") website, platform, application programming interfaces (APIs), plug-ins, and related services (collectively, the "Services"). By accessing or using the Services, you ("Client", "you", or "your") agree to be bound by these Terms and to any additional policies referenced herein, including our Privacy Policy and Refund Policy.


1. Definitions

Term Meaning
Account The administrative profile created by or for Client to access the Services.
Authorized Users Individuals whom Client permits to use the Services on its behalf.
Client Data Any data, content, or materials submitted to or processed by the Services on Client's behalf.
Output Machine-generated text, analyses, logs, or reports produced by EME in response to Client Data.
Stripe Stripe Payments Europe Ltd and its affiliates, EME's third-party payment processor.

2. Acceptance & Eligibility

By creating an Account, clicking an acceptance button, or otherwise accessing the Services, you represent that you (a) are at least 18 years old and have capacity to contract, (b) have authority to bind the entity you represent, and (c) will comply with these Terms and all applicable laws, including export-control, data-protection, and intellectual-property regulations.


3. Description of Services

EME is an AI-powered recursive-reasoning platform that helps organizations surface hidden risks, stress-test strategic decisions, and generate auditable reasoning trails. The Services are delivered solely online; no physical goods are shipped.

Card-network and Stripe rules require businesses to provide a clear description of the services sold, customer-service contacts, and refund terms on their websites.


4. Registration & Security

You must maintain the confidentiality of your Account credentials and restrict access to Authorized Users. You are responsible for all activity under your Account. Notify EME immediately of any unauthorized use or security incident.


5. License & Intellectual Property

  1. License to Client. Subject to timely payment, EME grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services during the subscription term.
  2. Reservation of Rights. EME retains all right, title, and interest in the Services, including all modifications, derivative works, and underlying models.
  3. License to EME. You grant EME a worldwide, royalty-free license to host, copy, process, and transmit Client Data and to generate Output solely to provide the Services.
  4. Feedback. Suggestions are voluntary; EME may use them without restriction or obligation.

7. Payment Terms

  1. Fees. Subscription fees, overage charges, and any applicable taxes are due in the currency disclosed at checkout.
  2. Processor. All card payments are processed by Stripe; by paying you agree to Stripe's Services Agreement.
  3. Refunds. Refund requests are governed by our Refund Policy, which complies with Stripe's recommendation that merchants clearly describe refund conditions to customers.
  4. Late Payments. Overdue amounts accrue interest at 1.5% per month (or the maximum lawful rate) and may result in suspension.

Each party shall protect the other's non-public information with at least the same diligence it uses for its own confidential data and may use it only to perform under these Terms.


10. Data Protection & Security

  1. Compliance. EME processes Client Data in accordance with our Privacy Policy and applicable data-protection laws (e.g., GDPR).
  2. Security. EME follows industry best practices, including HTTPS, TLS 1.3, and annual penetration tests. We are PCI-DSS compliant as required for Stripe integrations.
  3. AI Transparency. EME logs model prompts, parameters, and decision nodes to enable auditability but never uses Client Data to retrain global models without explicit consent.

11. Warranties

EME warrants that it will provide the Services in a professional manner and that it has the right to grant the licenses herein. Except as expressly stated, the Services are provided "as is" and EME disclaims all implied warranties, including fitness for a particular purpose and non-infringement. AI Output is probabilistic and may contain inaccuracies.


12. Limitation of Liability

To the maximum extent permitted by law, EME's aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of (a) the total fees you paid to EME in the 12 months preceding the claim or (b) USD 10,000. EME shall not be liable for indirect, special, incidental, punitive, or consequential damages, including lost profits or data, even if advised of the possibility.


13. Indemnification

You will indemnify, defend, and hold harmless EME, its officers, directors, and employees from any third-party claim arising from (a) Client Data; (b) your breach of these Terms; or (c) your violation of applicable laws.


14. Export Controls & Sanctions

You represent that you are not located in, or a citizen of, a country subject to comprehensive U.S. or EU sanctions and will not use the Services for prohibited end-uses (e.g., nuclear, missile, or chemical-biological weapons).


15. Modifications

EME may update these Terms by posting a revised version and updating the "Last updated" date. Material changes become effective 30 days after posting. Continued use after that date constitutes acceptance.


16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-laws principles. Any dispute shall be resolved by the competent courts of Yerevan, Armenia, except that either party may seek injunctive relief in any jurisdiction to protect confidential information or intellectual property.

18. Entire Agreement & Miscellaneous

These Terms (including referenced policies) constitute the entire agreement between the parties and supersede all prior understandings. No waiver is effective unless in writing. If any provision is unenforceable, the remainder remains in full force. You may not assign these Terms without EME's prior written consent; EME may assign to an affiliate or acquirer.


By using EME, you acknowledge that you have read, understood, and agree to be bound by these Terms.
